Clauses to look at
What it reads, and what it leaves to you
- Extracted: commencement and expiration dates, term, base rent (per month, per year, or per square foot), escalation percentage or CPI, security deposit, renewal options and notice days, free rent, improvement allowance, holdover percentage, late charge.
- Flagged: personal guaranty, NNN or operating-cost pass-throughs and missing caps or audit rights, relocation, assignment and sublet consent, rent acceleration, confession of judgment, long terms with no exit, big deposits, long renewal windows, missing exclusive use.
- Not decided: whether any term is fair or enforceable in your state, how much to offer, taxes, or whether to sign. Scanned PDFs need text copied out first; leases that spread a term across exhibits may need the override boxes.
Common questions
What is a commercial lease abstract?
A one-to-two page summary of a lease's key terms: parties, premises, term, rent and escalations, deposit, renewal options, operating-cost pass-throughs and the dates that matter. Landlords, brokers and property managers keep one for every lease so nobody has to reread a 60-page document to find a deadline.
What dates in a commercial lease can cost me money if I miss them?
The renewal-option notice deadline above all: miss it and the option is usually lost. Also rent step-up dates, the expiration date (holdover rent can be 150% to 200%), any early-termination notice window, and deadlines to claim a tenant improvement allowance.
What is a triple net (NNN) lease?
A lease where the tenant pays base rent plus its share of property taxes, insurance and common-area maintenance. Those pass-throughs can rise every year, so ask for a cap on controllable expenses and a right to audit the charges.
What is a personal guaranty in a commercial lease?
A promise by an individual, usually the owner, to pay the business's lease obligations if the business cannot. Tenants often negotiate a cap, a burn-off after on-time years, or a good-guy clause that limits liability to rent through the date the space is returned.
How is escalating base rent calculated?
Each lease year the monthly rent is multiplied by one plus the escalation percentage, compounding from year one. The page builds that schedule, applies free-rent months to the first year, and totals the base rent over the term.
Does this replace a commercial real estate attorney?
No. It reads wording with fixed rules, shows the sentence each value came from so you can check it, and says what to ask for. It does not decide whether terms are fair or enforceable where you are.
Is my lease uploaded anywhere?
No. The text is read in your browser and nothing is sent; a test in the code asserts there are no network calls.
