What it reads, and what it leaves to you
- Extracted: start date, initial term, auto-renewal and renewal length, non-renewal notice days, annual or monthly fee, annual price increase, CPI or list-price renewal, payment days, late interest, liability cap, uptime, data deletion window.
- Flagged: long cancel windows, full-term renewals, list-price renewals, vendor-amends-at-will, no termination right, non-refundable fees, true-ups, short payment terms, suspension without notice, liability caps and missing carve-outs, one-way indemnity, missing data terms, arbitration.
- Not decided: whether any term is fair or enforceable where you are, what price to accept, or whether to sign. Terms in a separate order form, exhibit or linked policy are not seen unless you paste them.
Common questions
What is a vendor contract auto-renewal clause?
A clause saying the agreement renews for another term unless you give written notice before a deadline. The deadline is often 30 to 90 days before the term ends, and the renewal is often a full year. Missing it commits you to the next term's fees.
How far ahead do I have to cancel a SaaS contract?
It depends on the contract; 30, 60 and 90 days are all common. This page finds the notice period in your text and counts back from the end of the term to give a date, then lets you add it to your calendar with a 30-day alarm.
What does 'then-current list price' at renewal mean?
The vendor can charge whatever its published price is at renewal, not the price you negotiated. Ask for a fixed cap on renewal increases, for example 3 to 5%, or CPI.
What should a limitation of liability clause include?
A cap that is meaningful relative to the risk (many buyers ask for 2x annual fees or more), mutual application, and carve-outs for data breach, confidentiality breach, indemnities, and gross negligence or willful misconduct.
What is termination for convenience?
The right to end the contract early without a reason, usually with notice. Without it, a multi-year term means you owe the remaining fees even if you stop using the product.
Does this replace a lawyer?
No. It reads wording with fixed rules, shows the sentence each value came from so you can check it, and says what buyers commonly ask for. It does not decide whether terms are fair or enforceable where you are.
Is my contract uploaded anywhere?
No. The text is read in your browser and nothing is sent; a test in the code asserts there are no network calls.
