NY LLC TRANSPARENCY ACT TRACKER · RUNS IN YOUR BROWSER
Does your NY LLC owe a filing — and when?
Answer four questions to see your likely category and deadline under New York's LLC Transparency Act, then organize the beneficial-owner details you'll need before you file. This is not legal advice and not a determination of your actual filing status — see the disclaimer below before you rely on it.
Evidence and organizing only — you remain the filer. This tool applies your own answers to New York Department of State (NYDOS) guidance confirmed as of December 31, 2025. It never files anything, never contacts New York State, and never determines your LLC's actual legal status. Confirm your category and deadline directly with NYDOS or your own attorney before you rely on them.

Days remaining
Every LLC subject to the Act, reporting or exempt, also owes a recurring annual statement in later years confirming or updating its beneficial ownership information (or exempt status) — confirm your own annual due date directly with NYDOS.
2. Beneficial owner worksheet
Needed if your category looks like a Reporting Company. Nothing here is uploaded or sent anywhere — see the privacy note in the footer, including how the "keep this in my browser" option below works.

This produces a draft document only. It does not file anything or contact New York State — review it, then email your own completed filing to NYDOS yourself.
Common questions
Who actually has to file under the NY LLC Transparency Act?
Per NYDOS guidance confirmed December 31, 2025, the reporting obligation (a full Beneficial Ownership Disclosure) applies only to an LLC formed outside the United States that is also formed in New York or authorized to transact business in New York. Every other LLC with a New York nexus — including an LLC formed in New York itself — is instead an "Exempt Company" that still must file an Attestation of Exemption. An LLC with no New York nexus at all is outside the Act's scope.
When is the deadline?
An LLC that already had a New York nexus before January 1, 2026 must file its initial disclosure or attestation by December 31, 2026. An LLC formed in New York, or authorized/registered to transact business in New York, on or after January 1, 2026 must file within 30 days of that formation or registration date. Every LLC subject to the Act also owes a recurring annual statement in later years.
How do I actually file?
As of this tool's last check, NYDOS had not yet launched an online filing portal — completed disclosures and exemption attestations, with the statutory filing fee, are submitted by email to doscorpboi@dos.ny.gov (case-insensitive). Confirm the current filing process directly with NYDOS before you send anything, since this can change once a portal launches.
Is this legal advice, or does it file anything for me?
No, to both. This tool applies the rule above to the answers you type and shows you the result — it does not know the full facts of your LLC's formation, does not model every exemption category NYDOS recognizes, and the statute and guidance can be amended. It never contacts New York State and never submits anything on your behalf; the organizer it produces is a draft for you to review and file yourself.
Is anything I type uploaded anywhere?
No. Every answer, and the entire beneficial-owner worksheet, is processed and rendered entirely in your browser from a fixed set of rules shipped with this page. Nothing is sent to a server. The worksheet is kept only in this browser's page memory unless you explicitly check "keep this in my browser" — see the privacy note in the footer.
