When is the NY LLC Transparency Act deadline?

New York's LLC Transparency Act (Senate Bill 8059, signed March 1, 2024) took effect January 1, 2026. Its deadlines run on two tracks depending on when your LLC's New York nexus began.

What is the initial filing deadline?

An LLC whose New York nexus began before January 1, 2026 must file its initial disclosure or attestation by December 31, 2026. An LLC whose New York nexus began on or after January 1, 2026 must file within 30 days of that formation or registration date.

On or after January 1, 202630 days from the formation/registration date

"New York nexus" means the LLC was formed under New York law, or is authorized/registered to transact business in New York as a foreign LLC. An LLC with neither is outside the Act's scope entirely.

Is there a recurring deadline after the initial filing?

Yes. Every LLC subject to the Act, whether a Reporting Company or an Exempt Company, must also file an annual statement confirming or updating its beneficial ownership information (or exempt status) and its principal executive office address. Confirm your own annual due date directly with the NY Department of State (NYDOS) — this tool computes only the initial deadline.

Who is a Reporting Company, and who is an Exempt Company?

Per NYDOS guidance confirmed December 31, 2025, the reporting obligation — a full Beneficial Ownership Disclosure naming each beneficial owner — applies only to an LLC formed outside the United States that also has a New York nexus. Every other LLC with a New York nexus, including one formed in New York itself, is instead an Exempt Company: it still must file, but as an Attestation of Exemption rather than a full disclosure.

How is this different from the federal Corporate Transparency Act?

They are two separate filings with two separate agencies. The federal Corporate Transparency Act is administered by FinCEN; New York's LLC Transparency Act is administered by the NY Department of State. Both ask about beneficial ownership, but a filing made under one does not satisfy the other, and their scope, exemptions, and deadlines are not identical. This tool covers only the New York state filing.

How do I actually submit a filing?

As of this tool's last check, NYDOS had not yet launched an online filing portal. Completed disclosures and exemption attestations, along with the statutory filing fee (by credit or debit card authorization), are submitted by email to doscorpboi@dos.ny.gov (case-insensitive). Confirm the current process directly with NYDOS before sending anything, since this can change once an online portal launches. This tool's organizer is a draft to review and attach — it does not send anything for you.
