What this does not cover
- Not a filing service. This tool only tells you whether the requirement applies and, if so, the deadline and which owners to report — it does not prepare, validate, or submit a BOI report to FinCEN's filing system.
- Does not verify your facts. Formation jurisdiction, registration status, registration date, and each owner's U.S.-person status are all self-reported here. A mistake in any of them changes the answer.
- U.S.-person status can be its own hard question. The rule's definition covers U.S. citizens, lawful permanent residents, and certain other categories — this tool does not walk through that definition and assumes you already know each owner's status.
- Point-in-time rule. This reflects FinCEN's final rule as of 2026-08-14. Litigation or a future rulemaking could change it again; recheck FinCEN.gov before relying on an old result.
Common questions
Do U.S. companies still have to file a beneficial ownership report in 2026?
No. FinCEN's August 11, 2026 final rule, effective August 14, 2026, permanently removed the BOI reporting requirement for every entity formed in the United States and every U.S. person, regardless of size or industry. This is a permanent rule change, not another temporary pause.
Which entities still have to file a BOI report?
Only "foreign reporting companies": entities formed under a foreign country's law that have registered to do business in a U.S. state or Tribal jurisdiction by filing with a secretary of state or similar office. A foreign entity that has not registered to do business in the U.S. has no filing obligation.
If my foreign entity still has to file, which owners do I report?
Only beneficial owners (and, for a company formed on or after January 1, 2024, company applicants) who are not U.S. persons. A foreign reporting company still files its own company-level information even if every owner happens to be a U.S. person, but reports zero individual owners in that case.
What is the filing deadline for a foreign reporting company?
An entity that became a foreign reporting company before March 26, 2025 had an initial report due April 25, 2025. One that registers on or after March 26, 2025 must file within 30 calendar days of the earlier of actual notice or public notice that its registration is effective.
Is this legal advice?
No. This tool applies FinCEN's own published August 2026 final rule to the facts you enter. It does not verify your entity's actual formation jurisdiction, registration status, or any owner's citizenship, and it does not prepare or submit a filing. Confirm against FinCEN.gov's own BOI guidance or a qualified attorney before relying on this for an actual filing decision.
