Result
What it checks, and what it leaves to you
- After you leave: non-compete length and scope, whether it survives a layoff, non-solicitation of customers or staff.
- What you own: invention assignment with no carve-out for your own time, no list of prior inventions, outside-work consent.
- Money you could lose: signing bonus or relocation repayment, bonus lost if you are gone on the payout date, commissions forfeited, an unattached commission plan.
- Equity: buyback or cancellation of vested equity, a short post-termination exercise window, missing vesting terms.
- Rights and exits: mandatory arbitration and waivers, out-of-state governing law, long resignation notice, terms the employer can change alone, confidentiality or non-disparagement with no carve-out.
- Does it match what you were told: the salary and signing bonus against the figures in the text.
- Not decided: whether any clause is enforceable in your state, whether the deal is good, tax treatment of equity, and whether you should sign. It reads text and cannot see your other documents.
Common questions
What should I check in a job offer before signing?
The written salary against what you were promised, any bonus terms, equity vesting and exercise terms, whether a non-compete or non-solicit applies after you leave, who owns what you create, whether you must repay a bonus if you leave, and how disputes are handled. This page checks the text for each of those.
Is a non-compete enforceable?
It depends on your state, your pay, your role and how narrow the clause is. Some states void most employee non-competes, others limit them by pay level or require notice and time to review. This page flags the clause and points at states commonly cited, but it does not decide enforceability; check the current law or ask an employment attorney.
Can my employer claim my side projects?
Only as far as the agreement and state law allow. An invention assignment with no carve-out for work done on your own time, without company resources and unrelated to the business is the wording to watch. Ask for a carve-out and list your prior inventions in an exhibit.
Do I have to repay a signing bonus if I leave?
Only if the document says so. Many offers require repayment if you leave within a year or two. Ask for repayment to shrink each month, and to be waived if you are laid off or leave for good reason.
Is this legal advice?
No. It is a text checker with fixed, visible rules. A clean result means those rules found nothing, not that a contract is fair or enforceable. Have an employment attorney review anything that matters.
Is the contract text uploaded anywhere?
No. The text is read in your browser and nothing is sent; a test in the code asserts there are no network calls.
